These Terms of Service ("Terms") constitute a legally binding agreement between you and Makerly LLC ("Makerly," "we," "our," or "us") governing your access to and use of the Makerly website, platform, and services (collectively, the "Services").
By accessing or using our Services, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Services.
2. Services Description
Makerly provides a platform that connects individuals and businesses ("Clients") with product designers, engineers, and manufacturers ("Makers") to facilitate the development and production of physical products. Our Services include:
- Connecting Clients with pre-vetted Makers
- Facilitating communication between Clients and Makers
- Providing project management tools
- Offering consultation and guidance on product development
3. User Accounts
To access certain features of our Services, you must register for an account. When you register, you agree to:
- Provide accurate, current, and complete information
- Maintain and promptly update your account information
- Keep your password secure and confidential
- Be responsible for all activities that occur under your account
- Notify us immediately of any unauthorized use of your account
4. Client Terms
As a Client using our Services, you agree to:
- Provide accurate and complete information about your project
- Respond to communications from Makers and Makerly in a timely manner
- Pay all applicable fees as described in our pricing structure
- Respect the intellectual property rights of Makers and other parties
- Comply with all applicable laws and regulations
5. Maker Terms
As a Maker using our Services, you agree to:
- Provide accurate information about your capabilities and experience
- Deliver services as agreed upon with Clients
- Maintain confidentiality of Client information and projects
- Comply with all applicable laws, regulations, and industry standards
- Pay all applicable platform fees as described in our Maker agreement
6. Fees and Payment
Our fee structure is outlined on our pricing page. By using our Services, you agree to pay all fees applicable to your use of the Services. All fees are non-refundable unless otherwise specified.
7. Intellectual Property
Our Intellectual Property: The Services, including all content, features, and functionality, are owned by Makerly and are protected by copyright, trademark, and other intellectual property laws.
Your Content: You retain all rights to any content you submit, post, or display on or through the Services. By submitting content, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, adapt, publish, and display such content for the purpose of providing and promoting our Services.
Project Intellectual Property: The ownership of intellectual property created during a project between a Client and Maker is governed by the specific agreement between those parties. Makerly does not claim ownership of such intellectual property.
8. Confidentiality
We take confidentiality seriously. All parties using our Services agree to maintain the confidentiality of proprietary information shared through the platform. Makers are required to sign non-disclosure agreements before accessing detailed project information.
9. Limitation of Liability
To the maximum extent permitted by law, Makerly shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, resulting from your use of the Services.
10. Dispute Resolution
Any dispute arising from these Terms or your use of the Services shall be resolved through binding arbitration in New York, New York, except that you may assert claims in small claims court if your claims qualify.
11. Termination
We may terminate or suspend your account and access to the Services at our sole discretion, without notice, for conduct that we believe violates these Terms or is harmful to other users, us, or third parties, or for any other reason.
12. Changes to Terms
We may modify these Terms at any time. If we make changes, we will provide notice by posting the updated Terms on our website and updating the "Last Updated" date. Your continued use of the Services after such changes constitutes your acceptance of the new Terms.
